This Aggregator
Agreement (“Agreement”) is made between:
[Britix Academy
Private Limited], (“Aggregator”) and [Teacher Name] (“Teacher”).
Purpose
The
purpose of this Agreement is to define the terms under which the
Platform will collect payments from students on behalf of the
Teacher, process such payments through the designated payment
gateway, and remit the net amount to the Teacher after deducting
applicable charges.
2.
Use of Platform and Listing of Courses
2.1 The Teacher shall list accurate details of courses, pricing,
syllabus, session duration, and availability.
2.2 The Platform may review and moderate course listings to
maintain quality standards.
2.3 False, misleading or piracy content may result in
suspension of the Teacher’s account.
3. Fee
Collection from Students
Student fee = Course Fee (As decided by Teacher) + GST 18%
Settlement
to Teachers
Net amount will
be transferred within 7 working days of payment clearing in
Aggregator’s bank account.
The Net Amount is calculated as, the amount received from the
students, reduced by
GST
collected from the student;
Payment
gateway base charges (as per chosen payment gateway)
Platform
processing fee (1% for domestic transfers and 1.5% for international
transfers);
Any other
statutory deductions, including TDS, wherever applicable (if the
aggregate payment in a year to a single Teacher exceeds Rs. 75000-
Per Annum.)
Settlement timelines may be extended in cases of:
Bank delays,
Chargebacks
or refunds,
Fraud
checks,
Technical or
system issues.
5.
Statutory Compliance
5.1 The Platform will remit GST collected from students to the GST
Department as per statutory requirements.
5.2 Where the
Teacher’s payments cross statutory limits, the Platform will deduct
TDS as mandated under the Income Tax Act.
5.3 The Teacher
shall provide all necessary documents
-Onboarding Requirements
a) PAN
b) Bank Account Details
c) Aadhaar/KYC verification documents
d) Any documents required for regulatory compliance.
6.
Responsibilities of Aggregator
The Platform shall:
a. Facilitate fee collection through an
authorised payment gateway;
b. Provide transaction records as
needed;
c. Remit the Teacher’s settlement amounts after
deductions;
d. Maintain compliance with GST, TDS, and other
applicable regulations;
e. Ensure the security of payment
processing systems.
f. Provide technology interface for student enrolment
g. Collect
payments securely
h. Provide reasonable support to Teachers and
Students
7.
Responsibilities of Teacher
The Teacher shall:
a. Provide accurate information regarding the
course fee;
b. Ensure that the services promised to the students
are delivered and Handle all service-related queries from
students.
c. Comply with all applicable laws related to teaching
services and educational standards
d. Provide valid KYC
documents, bank details, and PAN;
e. Accept deductions made by
the Platform as per this Agreement.
f. Maintain professional behaviour and communication with students
g.
Ensure authenticity of course materials
h. Not solicit students
outside the Platform for parallel payments
i Maintain updated
bank and contact details
8. Refunds
& Chargebacks
if a student
raises a refund, dispute, or chargeback, the Platform or Aggregator
may:
Adjust the
amount in your future payments, OR
Recover the
amount from you if required
Teacher
acknowledges that refund decisions may be governed by Platform
policies.
9.
Relationship
Using the
Platform does not create:
Employment
relationship
Partnership
Agency
(except for collecting payments on your behalf)
Joint
Venture
No employer-employee or partnership; Aggregator acts only as
facilitator.
10. Limitation
of Liability
The Platform shall not be liable for:
a. Delays caused by
banking systems, payment gateway failures, or technical issues beyond
its control;
b. Claims arising from the Teacher’s conduct or
delivery of service to students.
11.
Confidentiality
Both
Parties agree to maintain confidentiality of all financial,
operational, and student information accessed under this Agreement
and in compliance with applicable data protection laws.
12. Content
Ownership & License
12.1 Course content uploaded by the Teacher remains their
intellectual property.
12.2 The Teacher grants the Platform a
non-exclusive license to host and display the content on the
Platform.
13. Term &
Termination
13.1This Agreement shall come into effect upon acceptance by the
Teacher within the Platform App.
13.2This Agreement remains in force until terminated by either
Party.
13.3 Either party may terminate this Agreement with 15
days’ notice.
13.4 All dues and settlements up to the date
of termination shall be completed after applicable deductions.
The Platform may suspend or terminate immediately for:
Fraud,
misconduct, or breach of contract
Poor quality
of services
Student
complaints or low ratings
14.
Governing Law
Agreement
governed by laws of India. Any disputes shall be subject to the
jurisdiction of the courts located at [City].
15.
Acceptance
By continuing to
use the Platform and its payment services, the Teacher acknowledges
and accepts the terms of this Agreement.
